I have been sked to prepare a “Heads of Terms” document (1 or 2 pages) that describes the sale of a perpetual software license to one of our current SaaS customers. The customer wishes to move away from the SaaS arrangement to a more “traditional” software management arrangement where he can manage his own releases, functionality etc.

Do you have a HoT’s type document?
