This was a consent order made in the UK between a UK company and one from the USA which had a subsidiary company in the UK registered as a FOC (Foreign Owned Company). It had a company registration number so that it could register for UK VAT and open a bank account. But it did not have directors, shareholders or memorandum and articles of association. The consent order was between this UK subsidiary and a UK limited company.
The American company has now closed the UK company which signed the consent order.
Is the consent order still valid?
Alasdair Taylor's Answer
You should ask a solicitor to review the consent order and to advise on this question.
Even if the order is no longer valid, there may be other approaches to getting a satisfactory resolution.
