Company limited by guarantee

Hi, I am the director and member of a company limited by guarantee incorporated in the UK. I  would like to remove from the memorandum of association two subscribers/members that no longer want to act as members of the company. Can you please tell me how I can do this? What is the process?

The process for removing members will likely be defined in the company’s articles of association, which need to be read in conjunction with company legislation.

You can see the “model articles” for companies limited by guarantee here:

NB removing a member does not mean that she or he ceases to be a subscriber to the memorandum of association.
