Use this distribution agreement template to regulate the grant of non-exclusive distribution rights in the UK.
The distribution agreement includes clauses setting out the distributor’s core rights and obligations, the process for ordering products from the supplier, charges and payment procedures and confidentiality obligations. It also includes a set of clauses allocating risks between the parties with respect to the distributorship: warranties, indemnities and limitations of liability.
Terms and conditions of supply for products purchased by the distributor from the supplier are set out in a schedule to the distribution agreement.
